1About Willowave
Willowave is a Community-as-a-Service (CaaS) platform that provides digital products, services, and collaborative execution through a community of skilled working partners (We term them as "Willows"). Our services may include product development, digital solutions, consulting, and collaborative project execution.
2Acceptance of Terms
By accessing or using the Willowave platform, website, or any associated service, you agree to be bound by these Terms and Conditions. These Terms apply to all users — clients, Working Partners, visitors, and any party interacting with the platform.
3Platform Use
3.1 All Users
By using Willowave, you agree to:
- Use the platform only for lawful purposes consistent with applicable Indian law.
- Provide accurate, current, and truthful information at all times.
- Not copy, reproduce, or distribute platform content without written authorisation from Willowave.
- Respect the intellectual property, confidentiality, and privacy of all projects, partners, and clients.
- Maintain professional conduct in all platform interactions and collaborations.
3.2 Working Partners/Willows
Working Partners additionally agree to:
- Complete the Willowave onboarding process including AI assessment, profile review, and approval.
- Maintain work standards consistent with their assigned tier and role.
- Log project contributions honestly within the project dashboard.
- Adhere to the Willowave Partner Agreement and Incentive Policy shared during onboarding.
- Not represent themselves as Willowave employees or agents to external parties.
4The CAAS Model
Willowave operates on a Community-as-a-Service (CaaS) model — where verified working partners collaborate as an extended digital team for clients. Willowave introduces the term Willow/Working Partner to mean a professional who is neither a traditional employee nor a freelancer. Working Partners are skilled professionals who collaborate on client projects under a structured, tier-based system.
Partners are classified into three tiers — Learner, Intermediate, and Advanced — based on skill level, performance, and contribution history. Each tier carries defined responsibilities, compensation entitlements, and incentive structures.
5Services and Project Execution
Willowave provides digital product services to clients through its community of working partners. The scope, timeline, deliverables, and pricing for each engagement are defined in a separate project agreement or statement of work.
Each project is managed by a Project Executor — a senior Working Partner responsible for end-to-end delivery, client communication, and team coordination. The Project Executor is the primary point of accountability.
Willowave may operate under white-label partnerships where work is delivered under a partner brand. Such arrangements are governed by separate agreements.
6Intellectual Property
Willowave respects the confidentiality of every client engagement. Work delivered through Willowave is owned by the client and will not be showcased, referenced, or used for portfolio purposes without explicit written permission from the client. Where a client grants permission, Willowave may feature project work as a case snapshot or capability example on its platform. All such permissions are documented through a separate written agreement prior to any public use.
Working Partners acknowledge that work produced during Willowave engagements is subject to the IP terms of the relevant client contract and may not be independently claimed or reproduced without authorisation.
7Confidentiality
All client information, project details, and business communications handled through Willowave are treated as confidential. This obligation applies to Willowave and to all Working Partners as a condition of platform participation. Confidential information will not be disclosed to third parties without prior written consent, except where required by law. This obligation survives the end of any project engagement or partner relationship.
8Payments and Compensation
8.1 Client Payments
Pricing is communicated through official proposals or quotations. Clients must adhere to the agreed payment schedule. Delays may result in project suspension or service termination.
8.2 Working Partner Compensation
Working Partners are compensated through base salary (full-time partners) and project-based incentives. The compensation model is governed by the Willowave Partner Incentive Policy, which is shared transparently with all approved partners.
Incentive distribution is based on tier level, hours contributed, role responsibility, and delivery quality. All payout calculations are accessible to each partner through their dashboard at any time.
9Limitation of Liability
Willowave will make all reasonable efforts to ensure reliability and performance. However, Willowave shall not be held liable for:
- Indirect, incidental, or consequential damages from platform use.
- Loss of data, revenue, or business opportunities.
- Service interruptions caused by third-party platforms or infrastructure.
- Actions of Working Partners outside the scope of their Willowave engagement.
Users acknowledge they use the platform and services at their own discretion and risk.
10Third-Party Services
Willowave may integrate with third-party tools or platforms in the course of delivery. Willowave is not responsible for the availability, policies, or actions of such services. Users should review relevant third-party terms when interacting with external platforms.
11Termination
Willowave reserves the right to suspend or terminate access for any user who violates these Terms, engages in fraudulent activity, or acts against the interests of the Willowave community. Partner terminations follow the Willowave Partner Agreement.
12Modifications
Willowave may update these Terms at any time. Updates will be posted here with a revised effective date. Continued use of the platform constitutes acceptance of the revised Terms.
13Governing Law
These Terms are governed by the laws of India. Disputes arising from platform use or services are subject to the jurisdiction of competent Indian courts.
